The Insurance Regulatory and Development Authority of India (IRDAI) has on Monday streamlined existing procedures for the registration of insurers, capital structure, transfer of shares, listing of equity shares and amalgamation of insurance companies.
In a master circular on IRDAI (Registration, Capital Structure, Transfer of Shares and Amalgamation of Insurers) Regulations, 2024, along with the amendments notified in 2026, the insurance regulator replaced the previous master circular issued in May 2024 and a separate circular on subscribers to Other Forms of Capital issued in September 2024.
A key provision is the reduction in the processing fee for applications seeking approval for transfer of shares under Regulation 22(4), from ₹50 lakh to ₹10 lakh, following the 2026 amendments. However, fees already paid before notification of the amendments will not be refundable.
The circular also stipulates detailed disclosure requirements for insurers proposing to list their equity shares on stock exchanges. Applications seeking prior approval for share transfers in connection with a proposed listing must disclose the purpose and size of the initial public offering (IPO), including the fresh issue component and offer for sale by existing shareholders, besides the existing and proposed shareholding patterns.
Insurers must also confirm that regulatory actions initiated by IRDAI have been appropriately disclosed in the offer documents, applicable laws have been complied with and policyholders’ interests will be protected at all times, the circular said.
MERGERS
For mergers and amalgamations, the Authority has prescribed extensive documentation requirements, including audited financial statements, transaction agreements, board and shareholder approvals, and an independent actuary’s assessment of the impact on technical reserves, solvency, product pricing and financial condition of the merged entity.
The employee stock options issued by insurers, including through trusts, will be subject to statutory shareholding restrictions. Prior IRDAI approval will be required where the exercise of options by key managerial personnel or directors breaches the prescribed thresholds.
The master circular is applicable to all insurers, excluding foreign reinsurers’ branches, and applicants seeking registration to carry on insurance business.
